Andrew E. Brod
Andrew represents lenders, borrowers, and government-sponsored enterprises in a wide array of tax-exempt and taxable bond finance transactions, other real estate finance transactions, and secondary market credit enhancement transactions. His clients include nonprofit organizations and a variety of lenders, loan servicers, borrowers, and issuers focusing on tax-exempt and taxable municipal securities and other complex debt instruments and derivatives. Andrew’s practice involves preparing principal bond documents, ancillary loan documents, deal checklists, and closing certificates; reviewing public disclosure documents, bond purchase agreements, and legal opinions; leading filing and closing logistics; conducting due diligence of transaction documents; and more.
Andrew’s recent representative matters include:
- Served as bond counsel to the District of Columbia in connection with the issuance of tax-exempt revenue bonds in the agreement amount of $225 million for the construction and renovation of an existing Continuing Care Retirement Community. This transaction received the 2017 Deal of the Year Award from the Washington, DC Economic Partnership.
- Served as bond counsel to the District of Columbia in connection with the issuance of tax-exempt revenue bonds in the amount of $37 million for the renovation of an existing facility of a 501(c)(3) entity and the refinancing of existing indebtedness.
- Represented a lender in connection with a $16.5 million tax-exempt loan.
- Assisted in representing an administrative agent in connection with a $90 million term loan and development facilities secured by 56 quick-service restaurants in the southwestern US. Andrew was responsible for drafting ancillary loan documentation and conducting due diligence review of transaction documents.
Andrew worked at two prominent international law firms prior to joining Arent Fox.
Andrew is a member of the National Association of Bond Lawyers (NABL).

Life Beyond the Law
Andrew is a former NCAA Division III tennis player and was ranked by the United States Tennis Association. He continues to be a sports fanatic and, as a Philadelphia native, is a diehard Eagles, 76ers, and Phillies fan.
